TERMS OF SERVICE

welcome to IYA Enterprise LLC: By selecting any of our web design and branding packages and submitting your project intake form, you agree to comply with and be bound by the following terms and conditions. Please read them carefully.

1. Scope of Work & Project Deliverables 

IYA Enterprise agrees to deliver the specific services outlined in your chosen package tier (The Essentials Kit, The Brand Evolution, or Elite Brand Experience). Any features pages or branding assets requested outside the explicit bounds of the purchased package require a separate, signed change order and are subject to standard hourly developments rates.

2. The Revision Process & Logo Concept Buy- Outs

We value alignment and collaboration to keep your project on schedule. To ensure a clear workflow, the following design rules apply:

• Concept Section Selection & Revision Rounds: Logo concepts provided at the start of your project are initial structural directions. The client will select one (1) single concept to move forward into the revision stage. Each package includes a specific cap on revision rounds (3, 5, or 7 rounds depending on your purchased tier). A "round" is defined as a cohesive, structured list of design feedback items submitted by the client at one time. 
• How To Request a Revision: To keep communication streamlined and prevent project delays, all feedback must be submitted through our official Revision Request Form or complied into a single, comprehensive email to your dedicated project manager. To ensure maximum accuracy. Please group your notes by webpage section or visual element (e.g., typography, layout, color adjustments). Once a round is submitted, our team will process the updates and return the revised draft with in 3 to 5 business days.
• Ownership & Buy-Out Options: Your package price includes the final development and full ownership rights of your one (1) chosen logo design. Unselected initial design concepts remain the exclusive intellectual property of IYA Enterprise LLC. If you wish to retain your remaining initial concepts and purchase full ownership rights and the final source files for them, you can do so through our optional buy-out structure: 
• To keep two (2) total logos: Purchase one additional concept for a flat fee of $250.
• To keep all three (3) total logos: Purchase both remaining concept for a flat fee of $500.
• Feedback Windows: Clients must provide feedback on design drafts within (7) business days receipt. If no feedback is received within (14) days, the draft will be considered approved as-is, and the project will move to the next phase.
• Additional Edits: Any modification requests made after your package's revision limit has been exhausted will incur an additional charge of $150 per round or standard hourly rate.

3. Client Responsibilities & Asset Delivery

To build your website efficiently, you must provide all required business assets (including text copywriting, imagery product data, and login credentials) during the onboarding phase. IYA Enterprise is not responsible for project delays caused by a delay in client asset delivery.

4. Third-Party Platforms & External Fees

IYA Enterprise designs and configures your digital assets using modern systems (such as popular Content Management Systems, Python, and React frameworks). Your package price covers our agency's design and configuration labor only. The client retains independent financial responsibility for all ongoing third-party operating fees, including but not limited to: 

• Domain Registration and renewal fees
• Website hosting subscriptions
• E-commerce platform transaction and payment gateway fees (e.g., Stripe, PayPal)
• Premium plug-in or application software licenses

5. Intellectual Property & Ownership

Upon final payment and project completion, full ownership and copyright of the final approved logo design and custom website front-end design will be transferred entirely to the client. IYA Enterprise retains the right to display the completed work, case studies, and  screenshots within our design portfolio for marketing and promotional purposes.

6. Project Termination & Refunds

Working begins immediately upon intake form submission and processing. If a client chooses to cancel the project before completion, IYA Enterprise will retain a non-refundable deposit proportional to the discovery, consultation, and creative design work already completed up to the date of cancellation.
